These Terms and Conditions ("Terms") govern the provision of social media marketing services ("Services") by TechqnestSMM ("we", "us", "our", "Provider", "TechqnestSMM") to you ("Client", "you"). By signing any Order Form, Proposal, Invoice, or by making any payment for our Services, or by using our services in any way, you agree to be bound by these Terms.
1. Definitions
- Agreement — These Terms together with any accepted Order Form, Proposal, or Service Agreement.
- Order Form / Proposal — The document specifying the selected Services, pricing, duration, platforms, deliverables, and any special terms.
- Platforms — Social media networks including but not limited to Instagram, Facebook, TikTok, X (Twitter), LinkedIn, YouTube, and others specified in the Order Form.
- Content — Posts, stories, reels, captions, graphics, videos, ads, and other materials created or managed under this Agreement.
2. Services Provided
We will provide the social media marketing Services as described in your Order Form / Proposal, which may include:
- Strategy development and consultation
- Content creation, scheduling, and posting
- Community management and engagement (comments, DMs – within agreed scope)
- Organic growth activities
- Paid advertising setup, management, and optimization (if included)
- Performance reporting (frequency specified in Order Form)
- Platform analytics monitoring
Services are provided on a best-effort basis. We do not guarantee specific results such as number of followers, likes, engagement rate, leads, sales, or ROI, as these depend on many external factors including algorithm changes, audience behavior, product/service quality, market conditions, and your approval speed.
3. Client Responsibilities & Obligations
You agree to:
- Provide timely access to all required social media accounts, business manager, ad accounts, pixels, brand assets, logos, guidelines, product information, and login credentials.
- Respond to content approvals, feedback requests, ad copy reviews, and strategy questions within 24–48 hours (or as specified in Order Form).
- Supply high-quality images, videos, product details, or copy when required.
- Approve or provide feedback on all content and ads before posting / launching.
- Pay for all third-party costs (e.g., ad spend, stock images, tools) unless explicitly stated otherwise.
- Comply with all applicable laws and the terms of service of each Platform.
- Not request or instruct us to engage in black-hat tactics, fake engagement, bot usage, misleading claims, or any activity that violates Platform policies.
Failure to meet these responsibilities may delay campaigns, reduce effectiveness, or result in suspension of Services without refund.
4. Payment Terms
- Pricing — As stated in the Order Form / Proposal or Invoice.
- Payment Schedule — Usually monthly in advance, unless otherwise agreed.
- Late Payments — Subject to a late fee of 2.5% per month (or maximum allowed by law) and possible suspension of Services after 7 days overdue.
- Ad Spend — If we manage paid ads, you must fund the ad account directly or reimburse us within the agreed timeframe (usually within 3–5 business days).
- Taxes — All fees exclude VAT, withholding tax, or other taxes unless stated. You are responsible for any applicable taxes.
5. Intellectual Property
- All pre-existing materials you provide remain your property.
- We retain ownership of all templates, processes, strategies, and general know-how.
- Upon full payment, you are granted a non-exclusive, perpetual license to use Content we created specifically for your campaigns.
- We may showcase anonymized or approved work in our portfolio unless you opt out in writing.
6. Confidentiality
Both parties agree to keep confidential all non-public business, financial, strategic, and customer information disclosed during the relationship. This obligation survives termination.
7. Term & Termination
- Initial Term — As specified in the Order Form (commonly 3, 6, or 12 months).
- Auto-Renewal — Continues month-to-month after initial term unless terminated with 30 days' written notice.
- Termination for Convenience — Either party may terminate with 30 days' written notice (longer notice may apply during initial term – see Order Form).
- Termination for Cause — Immediate termination allowed for material breach (including non-payment), violation of law/Platform rules, or insolvency.
- Post-Termination — Upon termination:
- You remain liable for all fees due up to termination date.
- We will hand over access credentials within 5 business days after final payment.
- Pre-paid but unperformed Services are non-refundable unless otherwise agreed.
8. No Guarantees / Limitation of Liability
- Social media results are inherently unpredictable. We make no guarantees regarding follower growth, engagement, reach, conversions, or revenue.
- To the maximum extent permitted by law, our total liability shall not exceed the fees paid by you in the 3 months preceding the claim.
- We are not liable for indirect, consequential, punitive, or lost-profit damages, nor for issues caused by Platform changes, account suspensions due to your content/actions, or third-party services.
9. Indemnification
You agree to indemnify and hold us harmless from any claims, losses, or damages arising from:
- Your products/services
- Content or materials you provide
- Your violation of any law or third-party rights
- Your breach of these Terms
10. Force Majeure
Neither party is liable for delays or failure to perform due to events beyond reasonable control (natural disasters, government actions, internet outages, Platform shutdowns, etc.).
11. Governing Law & Dispute Resolution
These Terms are governed by the laws of Uganda. Any disputes shall first attempt resolution through good-faith negotiation, failing which they shall be submitted to mediation in Kampala, and if unresolved, to the exclusive jurisdiction of the courts of Uganda.
12. Amendments
We may update these Terms from time to time. Continued use of Services after posting of updated Terms constitutes acceptance.
13. Entire Agreement
These Terms (together with the Order Form/Proposal) constitute the entire agreement and supersede all prior understandings.
